Eight Sleep Trade-In Terms & Conditions (U.S.)

These Trade-In Terms & Conditions ("Terms") govern your participation in the Eight Sleep Trade-In Program ("Program"), operated by Eight Sleep, Inc. ("Eight Sleep," "we," "our," or "us").

By submitting your product for trade-in through the Program, you agree to these Terms. If you do not agree, you may not participate.

Please note that your participation in the Program is also governed by the agreements listed and linked below, as well as all other applicable terms, conditions, limitations, and requirements on the EightSleep.com website.

1. Eligibility

• Minimum Age Requirement
  To participate in the Program, you must be at least eighteen (18) years old or the legal age of majority in your jurisdiction, whichever is greater. By submitting a device, you represent and warrant that you meet this requirement.
• Legal Ownership and Authorization
  By participating in the Program, you represent and warrant that:
  • You are the sole legal owner of the device being submitted; or
  • You have full legal authority to act on behalf of the owner to transfer the device and all associated rights to Eight Sleep.
• No Encumbrances
  You further represent and warrant that the device is not:
  • Subject to any existing liens, leases, financing agreements, or loan obligations;
  • Encumbered by any third-party ownership claims or disputes.
  • You agree to indemnify and hold harmless Eight Sleep, subsidiaries, affiliates, officers, directors, dealers, agents, and employees from any claims, liabilities, or losses, including reasonable attorneys' fees, arising from false or misleading representations regarding ownership or legal authority, or your violation of any law or the rights of any third party.
• Consumer-Only Program
  This Program is intended solely for individual consumers for personal use. Businesses, commercial resellers, and bulk submissions are strictly prohibited and will be rejected. Eight Sleep reserves the right to refuse participation or void any trade-in suspected to be submitted on behalf of a business or third party. Participation is limited to two (2) tradein submissions per customer per calendar month. Submissions in excess of this cap may be rejected, returned at your expense, or processed without credit at our discretion.

2. Eligible Devices & Condition Requirements

• Eligible Devices
  Only specific devices listed as eligible on www.eightsleep.com/tradein qualify for participation in the trade-in program. Devices not listed are not eligible for trade-in consideration, regardless of condition or functionality.
• Condition Requirements
  To be eligible for credit, the Eight Sleep Pod or other listed device must meet minimum condition standards and pass an evaluation conducted by Eight Sleep. Evaluation criteria may include, but are not limited to:
  • Physical condition
  • Functional performance
  • Completeness of components
  • Evidence of damage, misuse, or unauthorized modifications
• Right to Accept or Reject
  Eight Sleep in its sole discretion reserves the right to determine whether a device meets the eligibility and condition requirements. Devices that do not meet these standards may be, in Eight Sleep's sole discretion:
  • Rejected with no credit issued
  • Accepted for partial credit, or
  • Recycled or discarded without notice
• Final Determination
  All determinations regarding device eligibility, condition, and trade-in value are made at the sole discretion of Eight Sleep and are final and binding. We are under no obligation to return, repair, or compensate for any device deemed ineligible or unacceptable under this Program.

3. Trade-In Quote & Inspection

• Estimated Trade-In Value
  The initial trade-in value provided is a non-binding estimate based solely on the information you submit regarding your item. This estimate is not a guarantee of final value or eligibility.
• Inspection and Final Valuation
  Once we receive your item, it will be inspected to assess its actual condition. Based on Eight Sleep's assessment, we reserve the right to adjust the trade-in value accordingly. The final trade-in value may be lower than the initial estimate if the condition does not match what was declared.
• Sole Discretion of Valuation
  Eight Sleep is the sole and final arbiter of the condition and value of all items received. Our determination of fair market value, based on the actual condition of the item, is final and non-negotiable.
• Partial Credit for Discrepant Items
  If the item received does not correspond to the declared condition, or has undisclosed damage or defects, we may issue only partial credit. The amount of partial credit will be determined at our sole discretion based on the actual condition of the item.
• Title and Risk of Loss.
  You represent that you own the item and have the right to transfer it. Title and risk of loss pass to Eight Sleep upon our acceptance of the item for processing following inspection. Prior to acceptance, you bear the risk of loss in transit.
• Non-Return Policy
  We do not return items submitted for trade-in under any circumstances. If an item is deemed ineligible, counterfeit, significantly damaged, or otherwise non-functional, it may be recycled or discarded without notice and without issuing any trade-in credit. By submitting your item, you acknowledge and accept this risk.
• Customer Responsibility
  You are solely responsible for accurately describing your item and ensuring it matches the information submitted during the trade-in process. Any discrepancies may result in a reduced or forfeited trade-in value.
• No Transfer
  Trade-in credit is non-transferable, and may be subject to additional terms of use at redemption.
• Acceptance of Terms
  By submitting your item for trade-in, you agree to these terms and conditions and accept our final evaluation and valuation of the product.

4. Device Ownership & Data Responsibility

• Transfer of Ownership
  By submitting your device for trade-in, you irrevocably agree to transfer full ownership and all associated rights, title, and interest in the device to Eight Sleep upon our final acceptance of the item. This transfer is final and non-reversible once your device has been accepted and processed.
• Data Security Warning
  You understand and accept that failure to properly remove personal data or unlink connected services before trade-in may pose a risk to your privacy or account security. Eight Sleep strongly recommends performing a factory reset and verifying the device is no longer connected to any personal accounts before shipment.

5. Trade-In Value & Payment

• Form of Credit
  Following receipt and inspection of the trade-in product, the approved trade-in value will be applied as a partial refund to the original invoice of your new Pod (Cover and Hub) purchased through www.eightsleep.com, unless otherwise specified in writing by Eight Sleep. The refund will be processed back to the original method of payment used for the purchase.

6. Program Limits & Frequency

• Quote Validity Period
  Trade-in quotes are valid for thirty (30) calendar days from delivery date of the new Pod.
  • If your device is not received within this timeframe, the quote may automatically expire, and a new evaluation may be required.
  • Expired quotes are not guaranteed to be reissued at the same value or under the same terms.
• Program Suspension or Termination
  Eight Sleep reserves the right to modify, suspend, or terminate the Program at any time, in whole or in part, and without prior notice. This includes changes to:
  • Eligible products
  • Valuation methods
  • Credit issuance procedures
  • Participation limits or eligibility criteria

Submission of a trade-in does not guarantee acceptance under revised or discontinued Program terms.

7. Limitation of Liability

• Shipping Responsibility
  Unless explicitly stated otherwise in writing by Eight Sleep, Eight Sleep is not responsible for any loss, theft, or damage to the trade-in device that occurs during shipping to or from Eight Sleep
  • You are solely responsible for properly packaging the item to prevent damage during transit.
  • You may be provided with a prepaid shipping label; however, this does not imply liability or insurance coverage by Eight Sleep for items lost or damaged in transit.
  • All purchases of physical items from Eight Sleep are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
• Disclaimers of Warranty and Liability
  To the maximum extent permitted by applicable law, once ownership of the device has transferred to Eight Sleep:
  • All warranties, express or implied, are disclaimed, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Eight Sleep disclaims any and all liability for the device, its contents, and its subsequent handling, use, or disposal.
• Limitation of Liability
  IN NO EVENT SHALL EIGHT SLEEP NOR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, DEALERS, AGENTS, AND EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF USE, OR LOSS OF VALUE OF THE DEVICE.
  
  WITHOUT LIMITING THE DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY TERMS IN THE EIGHT SLEEP SALES TERMS AND CONDITIONS, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE TRADE-IN VALUE OF YOUR SUBMISSION. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF ANY TRADE-IN SUBMISSION.

8. Legal Compliance

• Representation of Lawful Ownership
  By participating in the Program, you represent and warrant that the device you are submitting:
  • Is not counterfeit, stolen, or obtained through fraud or other unlawful means; and including through unauthorized resellers or secondary sellers
  • Is lawfully owned by you or you are fully authorized to transfer ownership on behalf of the lawful owner.
  
  You understand that submitting a device in violation of this representation may result in refusal of trade-in, forfeiture of credit, and possible legal action.
• Liability
  Eight Sleep will not be liable or responsible for any failure to perform, or any delay in the performance of, any of its obligations under these Terms that is caused by events outside its reasonable control or due to its compliance with any applicable laws or regulations.
• Cooperation with Law Enforcement
  Eight Sleep reserves the right to report any suspected illegal activity related to the Program to appropriate authorities.
  • Information, including device serial numbers, user details, or transaction history, may be disclosed to law enforcement agencies if required to do so by law, regulation, legal process, or valid governmental request.
• Governing Law
  These Terms and any disputes arising from or relating to the trade-in program shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.
• Entire Agreement
  This Agreement represents the parties' entire agreement in relation to the Program and supersedes all prior representations, communications, agreements, statements and understandings, whether oral or in writing.

9. Modifications

Eight Sleep reserves the right to modify, update, or amend these Terms and Conditions at any time, without prior notice.

By continuing to participate in the Program after any such changes are posted, you agree to be bound by the updated Terms.
